Constitution of the International Association for Private Security Professionals (iAPSP)

We, the members of the International Association for Private Security Professionals (iAPSP), recognizing the critical role of private security professionals in ensuring the safety, protection, and security of people, property, and assets across the globe, hereby establish this Constitution. We seek to promote professionalism, integrity, and ethical practices within the private security sector, and to advance the standards of practice in the interest of public safety and security.

Article 1: Name

The name of the organization shall be the International Association for Private Security Professionals (iAPSP).

Article 2: Objectives

The objectives of iAPSP are:

1. Promote Professionalism in Private Security: To uphold the highest standards of professionalism, training, and conduct for private security professionals globally.

2. Advancement of Knowledge and Skills: To provide education, certification, and professional development programs to enhance the knowledge, skills, and competencies of private security professionals.

3. Ethical Conduct and Best Practices: To promote and enforce a code of ethics and best practices that foster integrity, accountability, and respect for human rights in all private security operations.

4. Collaboration and Networking: To create a platform for collaboration, knowledge exchange, and networking among private security professionals, industry stakeholders, government agencies, and the public.

5. Representation and Advocacy: To serve as the global voice of private security professionals, advocating for the recognition of the sector's role and interests in policy-making and regulatory processes.

6. Research and Innovation: To promote and support research, innovation, and the development of new technologies and methodologies in the field of private security.

7. Public Awareness and Education: To raise awareness about the role and contributions of private security professionals to public safety and security.

Article 3: Membership

Section 1: Eligibility
Membership in iAPSP is open to individuals, organizations, and institutions involved in the private security industry, including security professionals, companies, training institutions, and other relevant stakeholders. Members must support the mission and objectives of iAPSP.

Section 2: Categories of Membership
1. Individual Membership: Open to individuals actively working in or retired from the private security sector.
2. Corporate Membership: Open to private security companies, agencies, and businesses offering security-related services or products.
3. Institutional Membership: Open to academic institutions, research bodies, and training organizations that support the development and education of private security professionals.
4. Student Membership: Open to students enrolled in security, law enforcement, or related academic programs.
5. Honorary Membership: Awarded to individuals or organizations who have made significant contributions to the field of private security, subject to approval by the Executive Board.

Section 3: Membership Fees
Membership fees shall be determined by the Executive Board, with different fee structures for individual, corporate, institutional, and student members. The General Assembly must ratify any changes to membership fees.

Section 4: Rights and Privileges
Members shall be entitled to:
1. Participate in iAPSP activities and programs.
2. Access resources, publications, and research developed or endorsed by iAPSP.
3. Vote in elections and General Assemblies (with the exception of Student Members, who are non-voting members).
4. Nominate candidates for positions on the Executive Board.
5. Be eligible for election to leadership positions (except Student Members).

Section 5: Responsibilities
Members shall:
1. Uphold the values and mission of iAPSP.
2. Adhere to the iAPSP Code of Ethics and conduct themselves in a professional manner.
3. Pay membership fees in a timely manner.
4. Promote the interests and reputation of the iAPSP.

Section 6: Termination of Membership
Membership may be terminated if a member:
1. Violates the iAPSP Code of Ethics.
2. Fails to pay membership fees after appropriate reminders.
3. Acts in a way that is detrimental to the objectives or reputation of iAPSP.

Article 4: Governance

Section 1: General Assembly
The General Assembly is the highest decision-making body of iAPSP, composed of all voting members. It convenes annually to:
1. Elect members of the Executive Board.
2. Approve the annual financial report and budget.
3. Consider and vote on proposed amendments to the Constitution.
4. Review reports from the Executive Board, committees, and task forces.
5. Discuss and provide guidance on the strategic direction of iAPSP.

Section 2: Executive Board
The Executive Board shall manage the affairs of iAPSP between General Assembly meetings. It shall consist of the following positions:
1. President: The chief executive officer and official representative of iAPSP, responsible for leading the organization.
2. Vice President: Assists the President and assumes their duties in their absence.
3. Secretary-General: Responsible for managing the administration, record-keeping, and communications of iAPSP.
4. Treasurer: Manages the financial affairs of iAPSP, including budgeting, reporting, and financial oversight.
5. Regional Representatives: Elected to represent different geographic regions and ensure the views of regional members are considered in decision-making.
6. Directors-at-Large: Up to three Directors appointed by the Executive Board to bring specific expertise or oversee specific areas (e.g., training, research, policy).

Section 3: Committees
The Executive Board may create standing or ad-hoc committees to assist in specific areas of focus. Examples include:
1. Ethics and Standards Committee: Oversees ethical conduct and professional standards within iAPSP.
2. Training and Certification Committee: Develops and manages training programs, certifications, and professional development initiatives.
3. Advocacy and Policy Committee: Represents the interests of private security professionals in policy discussions and regulatory matters.
4. Research and Innovation Committee: Promotes research on emerging trends, challenges, and opportunities in the private security sector.

Section 4: Election of Officers
Executive Board members shall be elected by the General Assembly through a simple majority vote. Nominations shall be submitted prior to the General Assembly, and all candidates must be members in good standing.

Section 5: Terms of Office
1. Members of the Executive Board shall serve for a term of three years, with the possibility of re-election for a second consecutive term.
2. If a position becomes vacant mid-term, the Executive Board shall appoint a replacement to serve until the next General Assembly, where a new election will be held for that position.

Article 5: Code of Ethics and Professional Standards

iAPSP members shall abide by the following Code of Ethics:

1. Integrity: Members shall perform their duties with honesty, fairness, and integrity, avoiding any conduct that would bring discredit to themselves or the profession.
2. Confidentiality: Members shall respect and protect the confidentiality of sensitive information acquired in the course of their duties.
3. Respect for Human Rights: Members shall respect and protect the human rights of all individuals, regardless of race, religion, gender, nationality, or other status.
4. Compliance with Laws: Members shall adhere to all applicable laws, regulations, and industry standards in the jurisdictions in which they operate.
5. Professionalism: Members shall act with professionalism, treating colleagues, clients, and the public with respect, and avoiding conflicts of interest.
6. Continuous Improvement: Members shall seek to improve their skills, knowledge, and competency through education, training, and professional development.

Violations of the Code of Ethics may result in disciplinary action, including suspension or expulsion from the association.

Article 6: Meetings

Section 1: General Assembly Meetings
The General Assembly shall meet annually at a date and venue determined by the Executive Board. Notice of the meeting shall be sent to all members at least 60 days in advance.

Section 2: Executive Board Meetings
The Executive Board shall meet at least quarterly, either in person or via electronic means. Additional meetings may be called as necessary.

Section 3: Quorum
A quorum for General Assembly meetings shall be one-third of the voting members. A quorum for Executive Board meetings shall be two-thirds of its members.

Article 7: Finances

Section 1: Budget and Financial Management
The Treasurer shall prepare an annual budget, which must be approved by the Executive Board and ratified by the General Assembly. All financial transactions must be transparent and adhere to best practices in financial management.

Section 2: Financial Reporting
The Treasurer shall present financial reports quarterly to the Executive Board and annually to the General Assembly.

Section 3: Auditing
An independent auditor shall be appointed by the Executive Board to audit the financial records of iAPSP annually, with results presented to the General Assembly.

Section 4: Dissolution
In the event of dissolution, all remaining assets shall be distributed to nonprofit organizations with similar objectives, as determined by the General Assembly.

Article 8: Amendments

Section 1: Proposal for Amendments
Amendments to this Constitution may be proposed by:
1. A majority vote of the Executive Board, or
2. A petition signed by at least 20% of the voting membership.

Section 2: Approval of Amendments
Proposed amendments must be approved by a two-thirds majority vote of the members present at the General Assembly.

Article 9: Dissolution

Section 1: Decision to Dissolve
The dissolution of the International Association for Private Security Professionals (iAPSP) can only be decided by a vote at the General Assembly. A proposal to dissolve must be initiated by either the Executive Board or by a petition signed by at least 40% of the voting membership. A three-fourths majority vote of all present and voting members at the General Assembly is required to pass the motion to dissolve.

Section 2: Asset Distribution
In the event of dissolution, any remaining assets of the association, after the satisfaction of all debts and liabilities, shall be distributed to one or more nonprofit organizations with similar objectives, as determined by the General Assembly. Under no circumstances shall any of the remaining assets be distributed to members of iAPSP.

Section 3: Final Reports and Records
Upon dissolution, all financial records, contracts, and documentation shall be retained for a period of five years or as required by law. These records will be maintained by a custodian appointed by the Executive Board before dissolution, and the appointed custodian shall be responsible for ensuring compliance with any legal requirements regarding record retention.

Article 10: Indemnification and Liability

Section 1: Indemnification
iAPSP shall indemnify any current or former Executive Board member, officer, committee member, or employee against all expenses and liabilities, including legal fees, reasonably incurred by or imposed upon them in connection with any proceeding to which they may be a party by reason of being or having been an Executive Board member, officer, committee member, or employee of iAPSP. This indemnification does not apply if the individual is found to have acted with gross negligence or willful misconduct.

Section 2: Liability of Members
No member of iAPSP, including its officers and Executive Board members, shall be personally liable for the debts, liabilities, or obligations of the association. The assets of iAPSP alone shall be used to discharge any such obligations.

Section 3: Insurance
The Executive Board may procure liability insurance to protect the organization and its members from claims arising out of the lawful performance of their duties, subject to the approval of the General Assembly.

Article 11: Affiliations and Partnerships

Section 1: Affiliations
iAPSP may affiliate with other national and international organizations, associations, and institutions that share its objectives in the advancement of the private security profession, subject to the approval of the Executive Board.

Section 2: Partnerships
iAPSP may enter into partnerships with governmental, nongovernmental, educational, and private sector organizations to further its objectives. These partnerships may include joint ventures, shared research, cooperative educational programs, or advocacy efforts that promote the role of private security professionals.

Section 3: External Representation
Members of the Executive Board, or their designated representatives, may represent iAPSP in any dealings with external organizations, including but not limited to government agencies, international bodies, and industry associations. All representations shall reflect the official policies and positions of iAPSP as approved by the General Assembly or Executive Board.

Article 12: Intellectual Property

Section 1: Ownership
All intellectual property created, developed, or produced by iAPSP, including but not limited to publications, research reports, training materials, logos, and branding, shall remain the sole property of iAPSP. Members and third parties may only use such intellectual property with the express written permission of the Executive Board.

Section 2: Use of Logos and Branding
Members and affiliates of iAPSP are authorized to use the official logo and branding of the association for professional purposes related to their membership or affiliation, provided that such use is in line with the mission and values of iAPSP. Unauthorized or inappropriate use may result in disciplinary action.

Article 13: Privacy and Data Protection

Section 1: Data Protection
iAPSP is committed to protecting the personal data of its members in accordance with applicable data protection laws. The association shall establish and maintain policies and procedures for the collection, storage, and use of personal data to ensure that members' privacy is respected.

Section 2: Access to Data
Members have the right to access their personal data held by iAPSP and to request corrections to any inaccuracies. Such requests shall be addressed in a timely manner in accordance with iAPSP's data protection policy.

Section 3: Data Sharing
Personal data collected by iAPSP shall not be shared with third parties without the explicit consent of the member, except when required by law or when necessary for the operational needs of iAPSP. Any such data-sharing practices shall be governed by a data-sharing agreement that ensures compliance with data protection regulations.

Article 14: Dispute Resolution

Section 1: Internal Disputes
Any disputes or grievances between members, or between members and the Executive Board, related to the interpretation or application of this Constitution or other matters concerning iAPSP, shall be resolved through internal mediation facilitated by the Ethics and Standards Committee.

Section 2: External Arbitration
If internal mediation fails to resolve the dispute, the parties may agree to submit the matter to binding arbitration. The arbitration process shall follow the rules and procedures agreed upon by the parties, and the decision of the arbitrator shall be final and binding.

Section 3: Legal Recourse
As a last resort, if the parties are unable to resolve a dispute through internal mediation or arbitration, they may seek legal recourse in a court of competent jurisdiction. iAPSP encourages members to exhaust all internal mechanisms before pursuing legal action.

Article 15: Communications and Publications

Section 1: Official Communications
All official communications of iAPSP, including announcements, reports, and statements, shall be issued under the authority of the Executive Board. The Secretary-General is responsible for ensuring that such communications are disseminated to members in a timely and efficient manner.

Section 2: Publications
iAPSP may produce and distribute publications, including journals, newsletters, and reports, to further its objectives and keep members informed about developments in the private security industry. The Executive Board may appoint an editorial committee to oversee the content and quality of iAPSP’s publications.

Section 3: Media Relations
All interactions with the media on behalf of iAPSP shall be conducted by the President, Vice President, or an authorized representative. Members shall not represent iAPSP in the media without prior approval from the Executive Board.

Article 16: Certification and Accreditation

Section 1: Certification Programs
iAPSP may develop and offer certification programs for private security professionals to recognize their qualifications, expertise, and adherence to industry standards. These certifications shall be developed by the Training and Certification Committee, subject to approval by the Executive Board.

Section 2: Accreditation of Training Programs
iAPSP may accredit training programs, institutions, and providers that meet its standards for educating and developing private security professionals. Accredited programs must align with iAPSP’s goals and the global best practices of the private security industry.

Section 3: Certification Renewal
Certified members must renew their certification periodically, as defined by iAPSP’s policies. Renewal shall require proof of ongoing professional development and may include completion of additional training, continuing education, or assessments.

Article 17: Ratification and Adoption

Section 1: Ratification
This Constitution shall be ratified by a two-thirds majority vote of the General Assembly. Upon ratification, it shall be binding upon all members of iAPSP and shall serve as the foundational governing document of the association.

Section 2: Effective Date
The Constitution shall take effect immediately upon its ratification by the General Assembly.
